Yes, minors can invest in Kingdom Manors, but they must do so through a custodial account. Since minors (typically those under 18) are not legally able to sign binding contracts, they cannot directly hold investment stakes. Instead, a parent or guardian must set up a custodial account under the Uniform Gifts to Minors Act (UGMA) or the Uniform Transfers to Minors Act (UTMA).
How it Works:
Custodial Account: An adult (usually a parent or guardian) manages the investment on behalf of the minor.
Ownership Transfer: Once the minor reaches the legal age (18 or 21, depending on the state), they gain control over the investment.
Reg D & Reg A+ Investments: Both Reg D and Reg A+ allow minors to hold investments via a custodial account, and the custodian will handle any contract signing or investment decisions until the minor reaches the age of majority.
What’s the Process?:
The parent or guardian sets up a custodial account.
The custodian (the adult) can then invest on behalf of the minor in Kingdom Manors.
The minor will gain full ownership and control of the investment when they reach the age of majority.

Yes, Kingdom Manors is conducting offerings under federal securities laws. We are in the process of filing for Reg D (Rule 506(b)) and Reg A+ (Tier 2) offerings with the SEC. These filings ensure compliance with U.S. securities regulations and allow us to offer investment opportunities to a broad range of investors.

Reg D (Rule 506(b)) is a SEC exemption that allows companies like Kingdom Manors to raise funds from accredited investors and up to 35 sophisticated non-accredited investors. This rule provides flexibility for private fundraising with minimal disclosure requirements, making it a faster and more cost-effective way to raise capital. Under Rule 506(b), we can raise an unlimited amount of funds while keeping our offering private.

Reg A+ (Tier 2) is a "mini-IPO" that allows Kingdom Manors to raise up to $75 million per year from both accredited and non-accredited investors. Unlike a full public offering, Reg A+ has simplified reporting requirements, and it enables us to sell securities to a wider audience. However, non-accredited investors are limited to investing 10% of their annual income or net worth, whichever is higher.

An accredited investor is an individual or entity that meets specific financial criteria set by the SEC. To qualify, an investor must:
Have an annual income of $200,000 (or $300,000 with a spouse) for the last two years and expect the same for the current year, or
Have a net worth of $1 million, excluding the value of their primary residence.
Accredited investors can invest without any limits in Kingdom Manors' offerings.

A non-accredited investor is someone who does not meet the SEC's financial thresholds for accreditation. Non-accredited investors can still participate in Reg A+ Tier 2 offerings, but they are subject to a 10% investment limit based on their annual income or net worth.
However, in our Reg D (Rule 506(b)) offering, non-accredited investors are not subject to the 10% investment limit. While up to 35 non-accredited investors may participate, they must qualify as sophisticated investors by demonstrating their ability to understand the risks of the investment.
6. Is There a Limit to How Much Non-Accredited Investors Can Invest?
Under our Reg D (Rule 506(b)) offering, there is no limit on how much non-accredited investors can invest, provided they qualify as sophisticated investors.
However, under Reg A+ (Tier 2), non-accredited investors are limited to investing 10% of their annual income or net worth. If you’re interested in investing more than that in our Reg A+ offering, you can contact us, and we’ll guide you on how to invest through a registered broker who may waive the 10% limit.
